    This nonprofit theatre company was formed in January 2024. In less than six months, the following behaviors were observed by three (out of 5) board members, causing the majority of the board to resign collectively on 9/3/24. These items are submitted in order to inform anyone looking to do business with or donate to this company.(1) despite repeated efforts by a majority of the Board to help shield said company from even the appearance of self-dealing, there was insufficient cooperation on the part of the President and Treasurer of the Board, who are spouses;(2) in the course of weeks of effort to reach a reasonable solution to ensure that the Board and its individual members acted "in good faith, with reasonable and prudent care, and in the best interest of the Corporation" (as phrased in Section 3.03 of the company's Bylaws), several emails were sent around by the President which contained uncooperative and unprofessional remarks, and well as evidence of questionable behavior which caused discomfort and misalignment among the board; and(3) it emerged that there was a misunderstanding on the part of the President as to the very role of the Board, with the President essentially contending that his "leadership" counted more than the collective wisdom of the Board, despite the company's Bylaw 3.02 which states, in pertinent part, "The management of all the Corporation's affairs, property, and interests shall be managed by or under the direction of the Board."NOTE: The minutes of the last Board meeting on August 13, 2024 are available upon request by relevant authorities.
